My understanding is that it has to be connected to a grass block in some way to get it to grow grass. so, if you go underground, even with an open roof or a high torch light level, it would never grow grass, unless you built a stairway down to the dirt from the surface grass.
A tree farm I recently built down at layer 22 doesn't have grass and its been complete and growing trees for about 3 days now.
You need to make a dirt staircase from a grass block leading to where you want the grass to grow for it to spread underground. It will stay there as long as you have enough light. Doesn't need to be sunlight.
Now with the 1.7.3 update, you can use a piston to push a grass block up or down where you need it. The grass will then spread to other nearby dirt blocks (assuming sufficient lighting).
Make sure, if you are pushing the block down that you put a glass block on top of it, or the grass will disappear. Here is a tutorial video I found that shows how to do it:

would it stay grass if i cover the hole?
