First download Gimp or photoshop or some other photo editing software (i suggest gimp or paint because they are free). Then copy the files from your minecraft folder and edit them and then compress into a .zip file.

Don't use Paint, it doesn't support transparency, unless you mean Paint.NET, which is fine.
Just edit the terrain.png, items.png, etc. files from the jar and save them in a .zip (back them up of course) and have them in the proper folders in the .zip and put the .zip C:\Documents and Settings\(user)\Application Data\.minecraft\texturepacks. There is an entire subsection for texturepacks.
