Better way:
1) Put grasscolor.png in texturepackname.zip/misc
2) Use MCPatcher and patch minecraft
3) Start minecraft and choose your texture pack in the texture pack list
Simple way:
1) Put grasscolor.png manually into minecraft.jar/misc
Try to follow these instructions, and nothing else and I think it'll be fine. If it doesn't work on the first try, try once again because you've done something wrong then.
1) Edit the grass in terrain.png. Make it the color you want. When you're done, save it.
2) Edit grasscolor.png and make it completely white or transparent. When you're done, save it.
3) Have a .zip file ready and name it to whatevery you want. Place your custom terrain.png in this file. When you've placed the file here move the .zip file to ".minecraft/texturepacks".
4) Find minecraft.jar in ".minecraft/bin" and open it with winRar or something else like that. When this file is open, find a folder named "misc". Place your custom grasscolor.png in this folder.
If you've done it right it WILL work.
