If you're using windows, go to Start>Run and type in %AppData%.
If %AppData% doesn't work, use Application Data, then roaming. If none of these work, I can't help you.

Inside the folder that opens up, go to roaming/.minecraft/bin, and open up your minecraft.jar using winzip, winrar, or another program of that type. The png files in this, and the png files in the title, terrain, mob, misc, item, gui, environment, art, and armor folders, are good files to edit. When creating the texture pack to distribute, create a new zip file anywhere, and put the png files inside of it (NOTE: It MUST be a .zip file. If it's anything else, minecraft will be unable to load it) If you don't want to edit one of the .png files, don't include it in the file, and others won't see any change in that portion.
